NOVADRIVE · WEBSITE AND BUSINESS COMMUNICATIONS
Terms of Service
1. Agreement
These Terms of Service (the “Terms”) govern novadrivellc.com, any NovaDrive-controlled portal or application that expressly links to these Terms, and the related website, inquiry, customer-support and communication functions offered by NovaDrive LLC (“NovaDrive”, “we”, “us” or “our”) (the “Services”). The Services defined here do not include a separate transportation, fleet, financial, employment or other commercial agreement unless that agreement expressly incorporates these Terms.
A contractual acceptance of these Terms requires reasonably conspicuous notice and an affirmative action expressly identified as acceptance, such as selecting an “I agree” control or signing an agreement. Merely receiving a call or text, visiting a page without adequate notice, or providing a telephone number does not by itself constitute agreement to arbitration, a liability limitation or marketing consent. Section 4.4 describes the rules for our optional service-message program without turning its opt-in into acceptance of unrelated commercial provisions.
If an authorized representative accepts for a business, “you” means that business. A sole proprietor may accept in that business capacity. Accepting as an agent of a separate entity does not, by itself, create an individual payment obligation, personal guaranty or waiver of that representative’s statutory privacy or communication rights. Every user remains responsible for their own unlawful conduct under applicable law.
Order of precedence. A separately accepted written service agreement controls its specific subject matter, including the identity of the provider, pricing, payment, performance and disputes. Our Privacy Policy controls our stated information-handling practices; section 4 governs the communication program described here. These Terms govern the remaining website and support functions. No unpublished policy, unspecified fee schedule, or third-party agreement is incorporated merely by being mentioned. Nothing in this hierarchy overrides mandatory law or changes a person’s consent.
Privacy Policy: https://novadrivellc.com/privacypolicy. An independent third-party service is governed by the agreement and notices actually presented by that provider.
2. Who may use the Services
Business-account functions are intended for adults acting for themselves as sole proprietors or for businesses. By affirmatively accepting these Terms for a business, you represent that:
- you are at least 18 and have legal capacity to enter the agreement;
- you have authority to act for and bind the business identified in the acceptance;
- information you submit is accurate to your knowledge, and you will promptly correct material inaccuracies; and
- you will use the Services only for lawful business purposes and within your authorization.
Individuals may contact us about privacy, support, or an employment inquiry without representing that they own or bind a motor carrier. An inquiry does not create an employment relationship, transport contract, credit approval or entitlement to a particular service. Where verification is relevant, we may check appropriate business or public records and request reasonably necessary supporting information. Sensitive verification and consumer reports require their own lawful process.
3. What the Services are
The Services provide information about NovaDrive and a way to submit business inquiries, request assistance, communicate with support, and access expressly available account functions. The actual scope of a paid service, the responsible legal entity and any regulated role must be identified in a separate agreement. We do not represent through these Terms that NovaDrive is a fuel-card provider, card issuer, bank or lender.
These Terms do not issue a card, establish a prepaid balance or credit line, authorize automatic debits, grant a security interest, create a personal guaranty or approve a shipment. Any such arrangement requires an appropriate separate agreement with the actual provider and any applicable authorizations and disclosures. References to other providers or programs do not establish an agency, issuing relationship, or other affiliation not expressly disclosed.
Information about pricing, savings, availability or third-party services is subject to the specific offer and applicable agreement. Estimates must be identified as estimates. We do not guarantee a particular saving, approval, rate or availability unless expressly agreed in an authorized written offer. This provision does not excuse misleading statements, override an accepted price, or permit an invoice alone to introduce an unagreed fee.
Features and availability may change, subject to any existing service commitments and required notice. Automated assistants may provide general support but are not authorized to grant credit, alter contracts, give legal or tax advice, or make final employment or other consequential decisions. Request confirmation from an authorized representative before relying on a statement about a contractual commitment.
4. Communications — calls, recording and AI agents
Your communication choices are separate from acceptance of these Terms. Consent to service SMS does not authorize marketing SMS, AI marketing calls, or recording. Consent cannot be inferred solely from a public directory, a purchased lead, another company’s permission, or a business relationship.
4.1 Calls to you
We may respond to an inquiry or make another business call only as permitted by applicable law and your preferences. For any artificial, prerecorded, or AI-generated voice call requiring prior consent, that consent must be obtained before dialing. Advertising or telemarketing calls requiring prior express written consent are not made without it. Describing a number as a business number, or using a live conversational AI rather than a fixed recording, does not remove these requirements.
At the beginning of an AI-enabled interaction, the agent identifies NovaDrive and explains that it is an automated assistant. We provide a usable callback contact and the identification and interactive opt-out required for the call. Where required, a voice or keypress opt-out is available during the message and automatically records the request and ends the call. A disclosure made after answering does not cure missing pre-call consent.
Outbound solicitation calls are limited to 9:00 a.m.–8:00 p.m. in the recipient’s local time, and any stricter applicable calling-hour, holiday, frequency, or Do Not Call restriction controls. We do not treat these hours as permission to disregard another state’s requirements. Non-solicitation responses specifically requested at another time must still be lawful. Requests not to call take precedence over ordinary follow-up schedules.
4.2 Recording
Before recording, transcribing, or streaming a conversation to an AI or transcription provider, we explain that processing and its purpose and obtain an affirmative indication of consent from all participants. Silence, continued website use, or acceptance of these Terms alone is not recording consent. New participants receive the same notice and choice before their conversation is processed. The same controls apply to inbound and outbound calls.
You may decline or withdraw that consent. We then stop the affected processing and provide an unrecorded human interaction where available, offer another available channel, or end the call. Lawfully obtained content is used only for the disclosed purposes and retained as described in the Privacy Policy. This section does not authorize voiceprint identification, voice cloning, or a provider’s use of identifiable conversations to train general-purpose AI models.
4.3 Stopping calls
You may say “stop calling”, “remove me” or another clear request, email info@novadrivellc.com, or call +1 610-904-5848. We honor reasonable revocation methods and promptly apply requests within the applicable legal and platform deadlines. A request to stop all automated calls and texts is applied across our relevant systems. We do not require a particular phrase, a purchase, account closure, or a fee to stop unwanted calls.
We retain the minimum information necessary to honor the request and demonstrate compliance. We do not change the originating number, use an affiliate, or restart a campaign to evade suppression. Any later re-enrollment must reflect a new, affirmative and legally sufficient permission; it does not erase the earlier opt-out record.
4.4 Text messages
Program and scope. NovaDrive Customer Service and Account Messages is an optional, non-marketing SMS program covering responses to your inquiry, requested-service updates, support, and relevant account notices. Enrollment requires a clear affirmative opt-in at a disclosed collection point. You may submit an inquiry and use services without agreeing to SMS. The person enrolling must be the subscriber or authorized user of the supplied number; an employer’s general authority is not assumed to cover a person’s private number.
Frequency and charges. Message frequency may vary with your requests and account activity. Message and data rates may apply. Delivery depends on mobile-network availability and is not guaranteed; wireless carriers are not liable for delayed or undelivered messages. Do not use SMS for an emergency or as the sole means of sending a time-critical legal notice.
Help and cancellation. Reply HELP for help, contact info@novadrivellc.com, or call +1 610-904-5848. Reply STOP to opt out; other clear, reasonable revocation requests are also honored. We may send one non-promotional confirmation of cancellation, then send no more messages from this program unless you provide new express written consent. We do not bypass STOP by calling a message “transactional”, changing senders or requiring you to close an account. Essential account information may use a different lawful channel.
Marketing is separate. This program’s opt-in does not include offers, promotions, or automated marketing calls. Any marketing SMS program requires its own optional written consent and applicable disclosures. We do not purchase, sell, rent, or transfer messaging consent, including between affiliates, or share mobile information for others’ marketing or promotional use. Purpose-limited providers may process it only to deliver or support our communications or as required by law, subject to the Privacy Policy.
Privacy and number changes. Information is handled under https://novadrivellc.com/privacypolicy. Notify us promptly if you relinquish or lose control of a number. These SMS terms are available at https://novadrivellc.com/terms, section 4.4. Program changes do not expand consent retroactively.
4.5 Service communications
After an SMS or automated-call opt-out, we may use an otherwise lawful and appropriate channel, such as email, an available account portal or mail, for invoices, security notices and other necessary account information. These Terms do not create an exception allowing calls or texts for which permission has been withdrawn. Opting out does not itself terminate an account or waive payment or service obligations under a separate agreement.
Marketing emails include the disclosures and unsubscribe mechanism required by law. An email unsubscribe does not authorize continued SMS or calling, and a request that clearly covers all marketing channels is honored according to its scope. We maintain records of the disclosures, permissions and withdrawals relevant to each communication.
5. Applying, funding and paying
Application. A website inquiry requests information or consideration; it is not acceptance of a paid service or approval for credit. Any additional onboarding must identify the provider, the information needed, and the applicable agreement. A consumer report, bank connection or employment screening requires its own lawful basis and any necessary disclosure and authorization.
Secure collection. Do not provide Social Security numbers, full card details, bank passwords or one-time authentication codes by phone, SMS, email or a general contact form. Use only a separately identified, appropriate collection channel. Verify suspicious requests through info@novadrivellc.com or +1 610-904-5848.
Funding and credit. These Terms do not establish prepaid funding, custody of funds, lending, credit limits or a right to debit an account. Those subjects are governed only by a separately accepted agreement and the actual provider’s authority. No statement by an AI assistant is a financing approval or an authorization to collect payment.
Invoices and payment. Amounts, fees, billing cycles, renewals and any cancellation or refund terms must be stated in the applicable accepted offer or service agreement. Recurring debits require the authorization applicable to the payment method and account. A website notice or an invoice does not itself authorize a new debit or waive a lawful payment dispute.
Late payment and refunds. Lawful collection, interest, late fees, suspension rights and treatment of any unearned payment depend on the separate agreement and applicable law. These Terms create no additional penalty, automatic forfeiture, credit-reporting authority or power to disable a third party’s product. We do not use a payment dispute as permission to disregard communications restrictions.
6. Your responsibilities
You agree to:
- protect your credentials and restrict access to authorized users;
- promptly report suspected unauthorized access or inaccurate account information;
- use the Services only for a business or inquiry you are authorized to represent;
- keep relevant contact and business information current, including changes to a telephone number;
- provide another person’s information only where you have a lawful basis to do so; and
- comply with applicable law and the specific agreements governing any separately purchased service.
The business is responsible for authorized activity within its account and for reasonable internal access controls. This does not impose automatic liability for every unauthorized act, shift our own security obligations to you, create a personal guaranty, or waive mandatory rights concerning unauthorized transactions or inaccurate records.
7. Prohibited use
You may not use the Services to impersonate a person or business, misrepresent authority, commit fraud, transmit unlawful threats or malicious code, obtain unauthorized access, interfere with systems, bypass reasonable security controls, or unlawfully collect personal information. You may not resell or commercially exploit the Services without permission, overload the website, or copy, scrape or reverse engineer protected material except to the extent the restriction is prohibited by law or expressly authorized.
These restrictions do not prohibit lawful complaints, communications with regulators, reporting suspected wrongdoing, preserving evidence for a legal claim, or other legally protected activity. A good-faith security concern may be reported through our contact details; that reporting invitation is not authorization to access restricted systems.
8. Third-party services
Some functions depend on independent providers, including SMS and voice platform providers, hosting, payment, verification or other specifically identified business-service providers. Their separate terms apply only when properly presented and accepted where required. A reference to a provider is not a claim that NovaDrive holds its license, issues its product or controls its pricing.
We do not guarantee a third party’s independent performance, pricing or availability, but remain responsible for our own express commitments and duties that cannot lawfully be delegated or excluded. We do not grant providers independent marketing rights in your mobile information or consent. Disclosures and processing on our behalf remain subject to the Privacy Policy and applicable agreements.
9. Intellectual property
We or our licensors own the rights we hold in the website, software, content, branding and other materials provided through the Services. Third-party names and marks remain the property of their respective owners. These Terms do not claim ownership of another company’s mark or imply an undisclosed affiliation.
Subject to these Terms, an authorized user receives a limited, non-exclusive, non-transferable right to use the Services for the permitted business or inquiry purpose. Except as permitted by law or written authorization, you may not reproduce, distribute, sell, create derivative works from or exploit protected material. Access may be withdrawn only consistently with section 13 and any separate service commitments.
You retain your rights in content you submit. You authorize us to use and process it only as reasonably necessary to respond, provide the requested service, protect systems and meet legal obligations, consistently with the Privacy Policy. This is not a license to publish confidential submissions, sell personal information, clone a voice, or train a third party’s general-purpose AI model on identifiable content.
10. Disclaimers
To the extent permitted by law, general website information and optional online functions are provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement only to the extent they may lawfully be disclaimed and are not inconsistent with an express commitment.
We do not guarantee uninterrupted availability, error-free automated responses, a particular business outcome or a third party’s performance. These disclaimers do not override an accepted service agreement, excuse false or misleading statements, disclaim title to money belonging to you, or reduce mandatory privacy, security, communications or other statutory duties. No automated statement changes the identity or authority of the actual service provider.
11. Limitation of liability
Business agreement only. This section applies only between NovaDrive and a business that has validly accepted these Terms, and only to claims within their subject matter. It does not bind a person merely because they received a call, text or marketing message.
To the extent permitted by law, neither party is liable to the other under these Terms for indirect, incidental, special or consequential loss, including lost profits, revenue or business opportunity, resulting from the website or support functions. Subject to the exclusions below, NovaDrive’s aggregate liability under these Terms is limited to the greater of (a) fees actually paid to NovaDrive for the relevant Services during the 12 months before the event giving rise to the claim or (b) US $1,000. A separate service agreement controls liability for its subject matter.
These exclusions and cap do not apply to fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury to the extent a restriction is prohibited, a duty to return funds that belong to you, or liability and statutory remedies that cannot lawfully be excluded or limited. They do not restrict a regulator’s authority, a person’s nonwaivable rights, or rights of a person who never accepted this limitation. They do not prevent recovery of amounts validly owed under a separate agreement.
12. Indemnity
A business that validly accepts these Terms will indemnify NovaDrive and its officers, employees and agents against third-party claims and reasonable resulting loss to the extent caused by that business’s material breach, unlawful misuse of the Services, infringement through content it supplies, fraud or willful misconduct. No indemnity is owed for loss attributable to NovaDrive’s or an indemnified party’s own negligence, misconduct, legal violation or breach, or merely because an individual exercises a protected right.
NovaDrive must give reasonably prompt notice of the claim and reasonable cooperation at the indemnifying business’s expense. Delay reduces the obligation only to the extent materially prejudicial. The business may control a defense with competent counsel reasonably acceptable to NovaDrive; NovaDrive may participate at its own cost unless a material conflict justifies separate counsel. No settlement may admit fault by, impose a nonmonetary obligation on, or fail to release NovaDrive without its written consent, not unreasonably withheld. No individual representative owes this indemnity solely by accepting for a separate business.
13. Suspension and termination
By you. You may stop using the website or request closure of an available account through info@novadrivellc.com. A separate service agreement governs cancellation of that service and any accrued payment or refund rights. An SMS or call opt-out is not an account-closure request and does not require closure.
By us. We may reasonably restrict or suspend access for material breach, fraud, unauthorized use, a substantiated security concern, a legal requirement, or inability to verify necessary authority. We provide notice and a reasonable opportunity to cure where practicable, except when immediate action is needed for safety, security, law, or serious misuse. The action must be proportionate; these Terms do not create authority to seize funds or terminate a third party’s product.
Termination does not cancel accrued lawful obligations or permit forfeiture of a refund otherwise due. We retain and delete information under the Privacy Policy and preserve communication suppression preferences. Provisions that by their nature should survive do so only to the extent applicable, including accrued obligations, confidentiality and intellectual-property restrictions, and validly accepted liability and dispute provisions.
14. Governing law and disputes
Governing law. Florida substantive law governs these Terms and covered disputes, without applying rules selecting another state’s law, except where mandatory law requires otherwise. The Federal Arbitration Act governs arbitration where applicable. This choice does not displace federal law or another jurisdiction’s nonwaivable recording, privacy, communications, or employment protections.
Limited scope and acceptance. This section binds only NovaDrive and a business affirmatively accepting these Terms after conspicuous notice. A website visit, call or message, SMS opt-in or privacy request is not acceptance. Employment, driver-recruiting, worker and consumer claims are excluded; separately accepted agreements control their own subject matter. A court, not the arbitrator, decides formation, acceptance, scope and enforceability, including the class-action provision; incorporation of procedural rules does not delegate those questions.
Informal resolution. Either party may send a dispute description and requested relief; notices to NovaDrive go to info@novadrivellc.com, subject “Dispute Notice”. The parties will try in good faith to resolve it within 30 days after receipt. This is no prerequisite to regulatory complaints, statutory communication or privacy requests, urgent relief or filings preserving limitation periods or nonwaivable rights.
Arbitration. Subject to this section’s exceptions, one neutral arbitrator appointed through the American Arbitration Association resolves covered business disputes by binding arbitration under its applicable Commercial Arbitration Rules: https://www.adr.org/rules-forms-and-fees/commercial/. The legal seat and any in-person merits hearing are in Orlando, Orange County, Florida, unless mandatory law requires otherwise. Remote or documents-only hearings permitted by agreement or those rules do not change the seat. Applicable rules and law govern fees and preserve mandatory cost protections. The arbitrator may award available individual remedies and authorized fees, with a reasoned written award. Court proceedings follow the exclusive forum below.
Court access. Either party may bring an eligible individual small claim in the County Court in and for Orange County, Florida, under the applicable Florida Small Claims Rules, or request temporary judicial relief pending arbitration in the designated forum. Temporary relief does not waive merits arbitration. Regulator contacts and judicial relief required by nonwaivable law remain available.
Exclusive Florida court forum. Subject to arbitration and nonwaivable law, covered court proceedings must be brought exclusively in the County Court in and for Orange County, Florida, or the Circuit Court of the Ninth Judicial Circuit in and for Orange County, Florida, as appropriate; or, when federal subject-matter jurisdiction exists, the United States District Court for the Middle District of Florida, Orlando Division. The parties consent to personal jurisdiction and waive venue and inconvenient-forum objections to the extent permitted by law. This forum survives declined or unenforceable arbitration. It creates no subject-matter jurisdiction, excuses no lawful service and binds no nonconsenting person. Appeals follow applicable law. Recognition or enforcement of a judgment may occur where the debtor or assets are located, without relitigating the merits.
Right to decline arbitration. Within 30 days after first acceptance, a business may email info@novadrivellc.com identifying itself and declining arbitration; no account number, notarization or fee is required. Neither party then owes arbitration or its related individual-proceeding restriction. Services remain available, and the independently accepted Florida choice-of-law and exclusive-forum provisions remain effective.
Individual proceedings. Covered arbitration proceeds individually, not as a class or collective action, to the extent enforceable. Joint representation, coordinated counsel, regulator actions and nonwaivable public injunctive relief remain permitted. If this restriction is unenforceable for a claim, that claim goes to the designated Florida court, subject to nonwaivable law, not class arbitration; severable claims may remain in individual arbitration. Without valid arbitration acceptance, or after timely arbitration opt-out, this paragraph creates no standalone class-action waiver.
15. General
Entire agreement. These Terms and any documents expressly identified and validly accepted for the same subject matter form the agreement for the website and support functions. They do not replace separate service, employment or financial agreements. The Privacy Policy states our information-handling practices and is not a blanket consent to processing. The order of precedence in section 1 applies.
Changes. We may revise these Terms prospectively by posting a new effective date. For a material contractual change, we provide at least 14 days’ advance notice to affected business account holders, except where a lawful urgent change is needed for security, fraud prevention or compliance. We obtain fresh affirmative acceptance when necessary to bind a user, including before applying a new or expanded arbitration obligation or a changed choice-of-law or exclusive-forum provision. Merely posting a change does not amend an existing signed agreement, authorize earlier conduct, expand SMS or call consent, or cancel an opt-out.
Assignment. A business may not assign a contractual right or obligation without consent, not unreasonably withheld for a legitimate business succession. NovaDrive may assign these Terms as part of a genuine business transfer if the successor assumes the applicable obligations and required notice is given. An assignment does not sell or transfer messaging consent as a separate asset, permit a different sender’s marketing, or authorize incompatible use of personal information.
Severability and waiver. An unenforceable provision is severed or limited only as legally permitted, without creating an obligation to which the parties did not agree. Section 14 controls severability of its arbitration and individual-proceeding provisions. A waiver must be clear and does not waive a later breach or a nonwaivable right.
Force majeure. Neither party is liable for a performance delay actually caused by an event beyond its reasonable control that could not reasonably be avoided or mitigated. The affected party must give appropriate notice, take reasonable mitigation steps, and resume performance when possible. This provision does not excuse accrued payment or refund duties, mandatory legal obligations, or a party’s failure to use reasonable security or continuity measures.
Notices and electronic records. Contractual notices may be sent by email or another method provided in the relevant agreement, except where law requires a different method. Notices to NovaDrive may be sent to info@novadrivellc.com or the mailing address in section 16. SMS and automated calls are used only with the necessary permission and are not the sole channel for important legal notices. Electronic acceptance must identify the accepting party and preserve an accessible, reproducible record of the version accepted; required consumer electronic-disclosure consent is a separate matter.
